Boards rarely fail because they lack intelligence. They fail because they underestimate where judgement is required. In 2026, artificial intelligence is exposing that blind spot faster than most boards are prepared for.
Across African organisations, artificial intelligence capability is advancing rapidly, driven by commercial pressure, competitive imitation, and vendor enthusiasm. Governance, however, is lagging. Not because boards are disengaged, but because AI is still too often treated as an operational or technical matter rather than a fiduciary concern. This is the boardroom trust gap: the widening distance between the power organisations are placing in AI systems and the governance maturity required to steward that power responsibly.
Boards today approve AI-enabled strategies that influence credit decisions, customer pricing, workforce screening, fraud detection, and access to essential services. These are not peripheral activities. They sit at the core of enterprise value, brand reputation, and stakeholder trust. Yet in many boardrooms, AI oversight is reduced to a single line item in a technology update or buried within generic digital transformation discussions. That posture is no longer defensible. A pricing algorithm that quietly disadvantages a segment of customers, or a screening tool that filters out qualified talent, can operate for months before the risk surfaces, often externally.
For boards, the implication is clear: AI capability is expanding more rapidly than governance judgement, creating oversight gaps that sit squarely within board responsibility. IBM’s 2024 Global AI Adoption Index shows that while more than 80 percent of organisations globally are deploying or piloting AI, fewer than one in three have formal governance structures to manage AI risk. McKinsey’s 2024 research reinforces the same pattern: AI-related incidents are rising, even as boards report low confidence in their ability to oversee AI-driven risk. Capability is accelerating. Governance judgement is not keeping pace.
A board that cannot clearly answer where AI is used across the enterprise, what data those systems rely on, who owns the outcomes, and how harm is identified and escalated is not exercising effective oversight. This is not a failure of curiosity; it is a failure of governance architecture. They need visibility, clear decision rights, and credible assurance – no different from expectations around financial reporting, cybersecurity, or enterprise risk management.
What makes AI uniquely challenging is that its risks are often invisible until they surface publicly. Bias, discriminatory outcomes, data misuse, or unsafe automation rarely announce themselves in advance. When they emerge, they do so through customer backlash, regulatory scrutiny, litigation, or reputational damage. At that moment, the question becomes unavoidably fiduciary: where was the board?
Globally, boards are learning this lesson the hard way. Well-documented failures in algorithmic hiring, credit scoring, and automated decision-making have demonstrated that “we did not know” is no longer an acceptable defence. Regulators, investors, and courts increasingly expect boards to demonstrate active, informed oversight of AI systems.
African boards operate in a more complex environment. Regulatory clarity is uneven, internal governance capabilities vary, and many organisations depend on AI solutions developed outside the continent. But these constraints do not dilute board responsibility; they heighten it. When regulation is light, governance judgement matters more, not less.
Boards that add real strategic value in this environment behave differently. They treat AI as a standing governance agenda, not a periodic update. AI use is mapped, monitored, and discussed with the same seriousness as financial performance or cyber risk. They insist on clear accountability. Someone at the executive level owns AI outcomes – neither the technology nor the vendor, but a named leader accountable to the board. And they seek assurance. Independent review, internal audit involvement, and structured reporting on AI risk indicators become part of the normal governance rhythm.
The most effective boards understand that trust is an asset. It underpins customer loyalty, regulatory confidence, investor patience, and employee commitment. AI can strengthen that asset or quietly erode it.
In the years ahead, the boards that distinguish themselves will not be those that adopted AI first, but those that governed it best. AI will shape how organisations are judged long after current quarterly results are forgotten. Boards will be remembered for whether they governed that power wisely.
